1. Introduction and Our Commitment to Privacy

Sunrgy Solar Distribution® (“Sunrgy,” “we,” “us,” or “our”), a brand of Amara NZero, is committed to protecting the privacy and security of the personal information of its customers, business partners, website visitors, and other individuals who interact with us. This Privacy Policy describes our practices for collecting, using, disclosing, and safeguarding personal information in connection with our website at https://www.sunrgy.com, our Client Portal, and all related services, communications, and business activities (collectively, the “Services”).

We recognize that trust is fundamental to our business relationships. Sunrgy is a business-to-business (B2B) solar equipment distributor whose customers are primarily solar installation contractors and commercial entities. While many of the rights described in this Policy are oriented toward individual consumer protection, we extend these protections broadly and are committed to transparency regardless of the nature of the relationship.

We encourage you to read this Policy carefully. By accessing or using our Services, you acknowledge that you have read and understood this Privacy Policy.

2. Scope of This Policy

This Privacy Policy applies to:

  • All visitors to https://www.sunrgy.com and any subdomains or microsites operated by Sunrgy;
  • All users of the Sunrgy Client Portal;
  • Business customers, prospective customers, vendors, and other parties who provide personal information to us in the course of their business relationship with Sunrgy;
  • Individuals who contact us by phone, email, or other means; and
  • Individuals whose personal information we may receive from third-party sources in connection with our business operations.

This Policy does not apply to the practices of third-party websites or services that may be linked from our Services, or to information collected by third parties that operate independent services. For those third-party services, the privacy policies of the respective third parties apply.

Where Sunrgy processes personal information on behalf of a business customer acting as a data controller, separate data processing agreements may govern the processing of that information.

3. Information We Collect

We collect personal information in several ways: directly from you, automatically through your interactions with our Services, and from third-party sources. “Personal Information” means information that identifies, relates to, describes, or is reasonably capable of being associated with a particular individual or household.

3A. Information You Provide Directly

We collect personal information that you voluntarily provide to us, including:

i. Account and Registration Information

When you create or manage a Sunrgy account or Client Portal access, we collect your name, company name, business address, billing and shipping addresses, email address, phone number, username, password, and other account credentials.

ii. Order and Transaction Information

When you place orders or make purchases through our Services, we collect information necessary to process those transactions, including contact information, shipping addresses, payment card information, purchase history, and order preferences.

iii. Contact and Communication Information

When you contact us through contact forms, email, telephone, or live chat, we collect the information you provide, including your name, contact details, the substance of your inquiry or request, and records of our communications with you.

iv. Customer Support Information

When you request technical support or assistance, we collect information about the nature of your request, any documentation or records you provide, and information about your account or products relevant to the support inquiry.

v. Marketing and Event Participation

When you register for webinars, events, training sessions, or newsletters, or when you participate in surveys, promotions, or sweepstakes, we collect information such as your name, business contact information, areas of interest, and responses.

vi. Business and Professional Information

Because Sunrgy operates primarily in a B2B context, we may also collect information about your role, title, company size, trade licensing status, and business qualifications to verify eligibility, process dealer applications, or tailor our Services to your professional needs.

3B. Information Collected Automatically

When you visit our website or use our Services, we and our service providers automatically collect certain information about your device and browsing activity, including:

i. Log and Usage Data

Server logs, IP address, browser type and version, operating system, referring URL (the website from which you linked to our site), pages viewed, links clicked, date and time of access, and time spent on pages.

ii. Device Information

Hardware model, unique device identifiers, browser fingerprint, and network information.

iii. Cookies and Similar Tracking Technologies

We use cookies, web beacons, pixel tags, and similar tracking technologies to operate and improve our Services, analyze usage, and support marketing activities. For full details, see Section 7 (Cookies and Tracking Technologies) and our standalone Cookie Policy.

iv. Email Analytics

When we send you emails, we may use pixels or similar technologies to track whether the email was opened and which links were clicked, to help us improve our communications.

v. Transaction Metadata

We may collect metadata associated with transactions processed through our Services, such as payment method type (but not full card numbers), transaction amounts, and timestamps.

3C. Information from Third-Party Sources

We may receive personal information from third-party sources and combine it with information we have collected directly, including:

i. Payment Processors

We receive confirmation and limited transaction data from payment processing partners when you make purchases.

ii. Business Partners and Distributors

Our business partners, dealers, and referral sources may provide us with information about prospective or existing customers in connection with a business transaction or referral.

iii. Publicly Available Sources

We may collect information from publicly available sources such as business registries, LinkedIn, industry directories, and publicly accessible social media profiles, primarily for purposes of business relationship development and due diligence.

iv. Data Enrichment Providers

We may supplement the personal information we collect with information from third-party data providers to verify records, update contact information, or identify professional context.

v. Analytics and Advertising Partners

We may receive information from analytics and advertising technology providers that help us understand how our Services are used and measure the effectiveness of our marketing campaigns.

4. How We Use Your Information

4A. Processing and Fulfilling Transactions

To process orders, payments, and returns; fulfill shipments; manage billing; verify business credentials; and communicate with you about your account and orders.

4B. Providing and Improving Our Services

To operate and maintain our website, Client Portal, and other digital services; diagnose and fix technical issues; perform quality assurance; and develop and improve our products, services, and features.

4C. Customer Support

To respond to your inquiries, complaints, and service requests; provide technical and account support; and resolve disputes.

4D. Communications and Marketing

To send you transactional and administrative communications (e.g., order confirmations, invoices, shipping updates); and, where you have provided consent or we otherwise have a lawful basis, to send promotional communications about Sunrgy products, services, promotions, events, and industry news. You may opt out of promotional communications at any time (see Section 13).

4E. Personalization and Customization

To tailor content, product recommendations, pricing, and promotional materials to your business needs, purchase history, and stated preferences.

4F. Business Analytics and Research

To perform data analysis, market research, demand forecasting, and internal business intelligence; to assess customer satisfaction; and to generate aggregated or de-identified statistical information for internal and external reporting.

4G. Fraud Prevention and Security

To detect, investigate, and prevent fraudulent activity, unauthorized access, and other harmful or illegal activity; to verify identity; and to maintain the security and integrity of our systems and Services.

4H. Legal Compliance and Regulatory Obligations

To comply with applicable laws, regulations, and legal process; to enforce our terms and agreements; to respond to law enforcement or regulatory requests; and to protect Sunrgy’s rights, property, and safety, and that of our employees, customers, and others.

4I. Due Diligence

To conduct know-your-customer (KYC) checks, credit assessments, license verifications, and other due diligence in connection with new and existing business relationships.

4J. Aggregate and De-Identified Information

We may aggregate or de-identify personal information so that it can no longer reasonably be used to identify you, and use and disclose such aggregate or de-identified information for any lawful business purpose, including research, analytics, marketing, and industry reporting.

5. Sharing and Disclosure of Personal Information

Sunrgy does not sell or rent your personal information to third parties without your explicit consent. We may share personal information as described below.

5A. Affiliates

We may share personal information with Amara NZero and other affiliated entities within our corporate family for business operations, administration, and service delivery consistent with this Policy.

5B. Service Providers and Vendors

We share personal information with third-party vendors, contractors, and service providers who perform functions on our behalf, including payment processing, shipping and logistics, information technology, data analytics, marketing services, customer relationship management, email delivery, legal counsel, and accounting. These parties are contractually required to process personal information only on our instructions and to maintain appropriate confidentiality and security measures.

5C. Business Partners

We may share personal information with business partners, authorized resellers, or co-venturers in connection with joint offerings, referral arrangements, or co-branded programs, subject to your consent where required.

5D. Advertising and Analytics Partners

We may share certain automatically collected information (such as hashed identifiers or cookie-based information) with advertising and analytics technology providers to help us measure website traffic, understand marketing campaign effectiveness, and deliver relevant content. These partners may use such information subject to their own privacy policies.

5E. Legal Process and Compliance

5G. Merger, Acquisition, and Corporate Transactions

If Sunrgy enters into a merger, acquisition, divestiture, restructuring, asset sale, financing, or similar corporate transaction, personal information may be transferred as part of that transaction, subject to appropriate confidentiality obligations. We will notify you of any such material change in accordance with Section 15.

5H. With Your Consent

We may share your personal information for any other purpose with your prior written or electronic consent.

6. SMS and AI Voice Communications Privacy

6A. Collection of Communications-Related Data

In connection with our SMS messaging program and AI-powered voice communications (including automated or AI-assisted outbound and inbound calling systems), Sunrgy collects:

  • Phone number and consent status: We collect your mobile phone number and maintain records of your opt-in consent to receive SMS messages or AI-assisted voice communications from Sunrgy.
  • Interaction data: We collect data generated during SMS and AI voice interactions, including message content, call recordings (where permitted by law and disclosed at the time of the call), timestamps, and other metadata, for purposes of improving our communications systems, troubleshooting, quality assurance, and compliance.

6B. Use of Communications Data

We use SMS and AI voice interaction data to:

  • Communicate with you about orders, shipments, account updates, and service information;
  • Respond to inquiries and provide customer and technical support;
  • Improve and troubleshoot our SMS and AI voice systems; and
  • Comply with applicable legal requirements regarding recordkeeping and consent documentation.

6C. Non-Disclosure of SMS and Voice Data

Sunrgy does not sell, rent, or share your mobile phone number or your SMS or AI voice consent status with any third parties for their own marketing or promotional purposes. No mobile opt-in data or consent information is shared with third parties or affiliates for marketing or promotional purposes.

Specifically: all of the above categories of SMS and AI voice data exclude text messaging originator opt-in data and consent information, which will NOT be shared with any third parties under any circumstances.

Service providers who assist in the technical delivery of SMS or voice communications may have access to phone numbers solely as necessary to deliver those communications, and are contractually prohibited from using such information for any other purpose.

6D. Opting Out of SMS Communications

You may opt out of SMS communications from Sunrgy at any time by:

  • Replying STOP to any SMS message you receive from us; or
  • Contacting us at support@sunrgy.com or calling 833.786.7492 to request removal from our SMS list.

Standard message and data rates may apply. After opting out, you will receive a final confirmation message, and no further SMS messages will be sent unless you re-subscribe.

6E. Opting Out of AI Voice Communications

You may opt out of AI-assisted voice calls from Sunrgy by:

  • Stating your preference to be removed during any such call;
  • Contacting us at support@sunrgy.com; or
  • Calling 833.786.7492 to speak with a representative.

7. Cookies and Tracking Technologies

We use cookies and similar tracking technologies (including web beacons, pixel tags, and local storage objects) to operate our website, understand how visitors use our Services, and deliver relevant communications. Cookies are small text files stored on your device by your browser.

Types of cookies we use include:

  • Strictly Necessary Cookies: Essential to the operation of our website and Client Portal (e.g., session management, authentication, security).
  • Performance and Analytics Cookies: Help us understand how visitors interact with our Services by collecting and reporting information anonymously (e.g., pages visited, time spent, error messages).
  • Functional Cookies: Enable enhanced features and personalization (e.g., remembering your preferences and login information).
  • Marketing and Targeting Cookies: Used to deliver advertising and marketing messages relevant to your interests, and to track the effectiveness of our campaigns.

8. Data Security

Sunrgy employs a combination of technical, administrative, physical, and contractual measures designed to protect personal information against unauthorized access, disclosure, alteration, destruction, or misuse. These measures include:

  • Technical controls: Secure Sockets Layer (SSL) / Transport Layer Security (TLS) encryption for data transmitted over the internet; access controls and authentication for systems containing personal information; network firewalls; intrusion detection systems; and regular security assessments.
  • Administrative controls: Employee training on privacy and security practices; role-based access policies limiting access to personal information to those with a legitimate business need; confidentiality obligations in employment and vendor agreements; and incident response procedures.
  • Physical controls: Physical security measures at our facilities, including those in Missouri City (TX), Dallas (TX), Orlando (FL), Swedesboro (NJ), La Verne (CA), and Stockton (CA), to prevent unauthorized physical access to systems and records.

Password Protection: You are responsible for maintaining the confidentiality of your Client Portal username and password. We recommend choosing a strong, unique password and not sharing your credentials. If you believe your account has been compromised, please contact us immediately.

Despite these safeguards, no security system is impenetrable, and no method of data transmission over the internet can be guaranteed to be completely secure. We cannot guarantee the absolute security of your personal information. In the event of a data breach that triggers notification obligations under applicable law, we will provide required notifications in accordance with those legal requirements.

9. Data Retention

We retain personal information for as long as necessary to fulfill the purposes described in this Policy, including to:

  • Maintain and service active accounts and ongoing business relationships;
  • Comply with applicable legal, regulatory, tax, accounting, and recordkeeping obligations;
  • Resolve disputes and enforce our agreements; and
  • Support legitimate business interests such as fraud prevention and business continuity.

When we no longer need personal information for these purposes, we take reasonable steps to delete, de-identify, or anonymize it in a manner that protects against unauthorized access or use. The specific retention period for a given category of data depends on the nature of the data, the purpose for which it was collected, and applicable legal requirements. For example:

  • Transaction records are generally retained for seven (7) years to satisfy tax and accounting obligations;
  • Account information is retained for the duration of the account relationship and for a reasonable period thereafter, consistent with legal requirements;
  • Marketing and communications data is retained until you opt out or until such data is no longer needed for the purpose for which it was collected;
  • Log and security data is generally retained for ninety (90) days to two (2) years, depending on operational needs.

10. International Data Transfers

Sunrgy is headquartered in the United States. If you are accessing our Services from outside the United States, your personal information may be transferred to, stored, and processed in the United States or other countries where our service providers operate, which may have data protection laws different from those in your jurisdiction.

By using our Services and providing personal information to us, you acknowledge that your information may be processed and stored in the United States. We take appropriate measures to ensure that international transfers of personal information comply with applicable law. Where required, we implement safeguards such as data processing agreements and applicable transfer mechanisms, consistent with the requirements of the laws that apply to your information.

Our website and communications may contain links to third-party websites, platforms, and applications that are not owned or controlled by Sunrgy. This Policy does not apply to those third-party sites, and Sunrgy is not responsible for the privacy practices or content of any third-party website. We encourage you to review the privacy policies of any third-party websites you visit. The inclusion of a link on our website does not imply our endorsement of the linked site or its practices.

12. Children’s Privacy

Our Services are designed for and directed to businesses and adult professionals. We do not knowingly collect personal information from individuals under the age of 13. No individual under the age of 16 should provide personal information to us through our Services. Account registration and use of the Sunrgy Client Portal requires that you be at least 18 years of age.

If we learn that we have inadvertently collected personal information from an individual under the age of 16, we will take steps to delete such information promptly. If you believe we have collected personal information from a person under 16 years of age, please contact us at support@sunrgy.com.

13. Your Rights and Choices

Sunrgy respects your right to access, control, and make informed choices about your personal information. Depending on your jurisdiction, you may have the rights described below. For state-specific rights, see Section 14.

13A. Right to Know / Access

You have the right to request information about the categories and specific pieces of personal information we have collected about you, the purposes for which we collected and use it, and the categories of third parties with whom we have shared it.

13B. Right to Correction

You have the right to request that we correct inaccurate or incomplete personal information we hold about you. You may also update your account information directly through the Sunrgy Client Portal.

13C. Right to Deletion

You have the right to request deletion of personal information we have collected from or about you, subject to certain exceptions (e.g., where retention is required by law, to complete a transaction, or to fulfill a legal obligation).

13D. Right to Data Portability

Where technically feasible and required by law, you may request a copy of personal information you have provided to us in a structured, commonly used, and machine-readable format.

13E. Opt-Out of Promotional Communications

You may opt out of promotional email communications by:

  • Clicking the “unsubscribe” link included in any promotional email from us;
  • Emailing us at support@sunrgy.com; or
  • Calling us at 833.786.7492.

Even if you opt out of promotional communications, we will continue to send you transactional and administrative messages (such as order confirmations, invoices, and security notices).

13F. Opt-Out of Data Sharing

13G. Updating or Correcting Your Information

You may review and update your account information at any time by logging into your Sunrgy Client Portal. If you need assistance updating your personal information outside of the portal, contact us at support@sunrgy.com.

We will respond to verified requests within the timeframes required by applicable law. We may need to verify your identity before processing your request. We will not discriminate against you for exercising your privacy rights.

14. U.S. State-Specific Disclosures

14A. California Residents — CCPA/CPRA Disclosures

This section applies to California residents and supplements the rest of this Privacy Policy. It is provided pursuant to the California Consumer Privacy Act of 2018, as amended by the California Privacy Rights Act of 2020 (collectively, “CCPA/CPRA”).

Sale or Sharing of Personal Information

Sunrgy does not sell your personal information for monetary compensation. Sunrgy may “share” (as defined under the CPRA) limited categories of automatically collected information (such as cookie data and browsing activity) with advertising and analytics partners for cross-context behavioral advertising purposes. Use of Sensitive Personal Information

We use sensitive personal information solely for the purposes permitted under the CPRA (i.e., to perform the services reasonably expected by you and to complete the transaction for which it was collected), and do not use or disclose it for the purpose of inferring characteristics about you.

California Consumer Rights

California residents have the following rights under CCPA/CPRA:

  • Right to Know: Request disclosure of the categories or specific pieces of personal information we have collected about you, the categories of sources, the purposes for collection, and the categories of third parties with whom it has been shared or sold.
  • Right to Delete: Request deletion of your personal information, subject to certain exceptions.
  • Right to Correct: Request correction of inaccurate personal information.
  • Right to Data Portability: Receive a copy of your personal information in a structured, machine-readable format.
  • Right to Opt-Out of Sale or Sharing: Opt out of the sale or sharing of your personal information for cross-context behavioral advertising.
  • Right to Limit Use of Sensitive Personal Information: Direct us to limit the use and disclosure of your sensitive personal information to the uses permitted by law.
  • Right to Non-Discrimination: Sunrgy will not discriminate against you for exercising your CCPA/CPRA rights.

Response Timeframes: We will acknowledge your request within 10 business days and respond within 45 calendar days. If we require more time, we may extend by an additional 45 days with notice.

“Shine the Light” (California Civil Code § 1798.83): California residents may request information about our disclosure of personal information to third parties for their direct marketing purposes during the preceding calendar year. To make such a request, contact us at support@sunrgy.com or 833.786.7492.

Authorized Agents: You may designate an authorized agent to submit a request on your behalf. We may require written proof of authorization and may verify your identity directly before processing such requests.

Appeals: If we deny your request, you may appeal by contacting us as described in Section 16. We will review the denial and provide a written response within 60 days.

14B. Texas Residents — TDPSA Disclosures

This section applies to Texas residents and is provided pursuant to the Texas Data Privacy and Security Act (TDPSA), which became effective July 1, 2024. Given that Sunrgy maintains a principal location in Missouri City, Texas, and Dallas, Texas, and conducts business with Texas residents, this section is particularly relevant.

Your Rights Under the TDPSA

Texas residents have the following rights with respect to personal data processed by Sunrgy:

  • Right to Confirm: The right to confirm whether Sunrgy is processing your personal data.
  • Right to Access: The right to access the personal data Sunrgy has collected about you and to obtain a copy in a portable and usable format, if the data is available in digital form.
  • Right to Correct: The right to request correction of inaccuracies in your personal data.
  • Right to Delete: The right to request deletion of personal data that you have provided to us or that we have obtained about you.
  • Right to Opt-Out: The right to opt out of the processing of your personal data for:
    • Targeted advertising;
    • The sale of personal data; and
    • Profiling in furtherance of decisions that produce legal or similarly significant effects.

Sensitive Data

The TDPSA requires consent before processing sensitive personal data. Sunrgy does not process sensitive personal data beyond what is reasonably necessary to complete the transaction for which it was provided or as otherwise required by law.

How to Exercise Your TDPSA Rights

To exercise your rights, submit a request by:

Appeal

If we decline to take action on your request, you may appeal our decision by contacting us at support@sunrgy.com within a reasonable time after receiving our response. We will respond to your appeal within 60 days with a written explanation.

If your appeal is denied, you may contact the Texas Attorney General at https://www.texasattorneygeneral.gov to submit a complaint.

Non-Discrimination

Sunrgy will not discriminate against Texas residents for exercising their rights under the TDPSA.

14C. Colorado Residents — CPA Disclosures

This section applies to Colorado residents pursuant to the Colorado Privacy Act (CPA), effective July 1, 2023.

Colorado residents have the right to: (i) opt out of the processing of personal data for targeted advertising, the sale of personal data, or profiling; (ii) access personal data; (iii) correct inaccuracies; (iv) delete personal data; and (v) obtain a portable copy of personal data.

We will respond within 45 days, with a possible 45-day extension. If your appeal is denied, you may contact the Colorado Attorney General’s Office at https://coag.gov/.

14D. Connecticut Residents — CTDPA Disclosures
